CG Innovations Private Limited is committed to conducting its business in a socially responsible manner. This Corporate Social Responsibility (CSR) Policy defines the Company’s commitment towards contributing to sustainable development and social welfare in accordance with applicable laws.
1. A Brief Outline on the CSR Policy of the Company
This CSR Policy outlines the Company’s approach towards Corporate Social Responsibility, including the projects and programs proposed to be undertaken.
In accordance with Section 135 of the Companies Act, 2013, read with Schedule VII of the Companies Act, 2013 and the Companies (Corporate Social Responsibility Policy) Rules, 2013, the CSR Policy of CG Innovations Private Limited (“the Company”) was formulated and approved by the Board of Directors at its meeting held on 5th June, 2015.
This policy shall be governed by the provisions of the Companies Act, 2013 and the rules framed thereunder, as amended from time to time.
2. Objective
The objective of this CSR Policy is to define the framework for implementing CSR initiatives in compliance with Section 135 of the Companies Act, 2013 and applicable rules, while contributing to inclusive and sustainable development.
3. Scope
This Policy shall apply to all CSR projects, programs, and activities undertaken by the Company within India, in accordance with Schedule VII of the Companies Act, 2013.
4. Definitions
- Act : The Companies Act, 2013, including any statutory modification or re-enactment thereof.
- Board : The Board of Directors of the Company.
- Board’s Report : The report of the Board of Directors prepared in accordance with Section 134(3) of the Companies Act, 2013.
- Company : M/s CG Innovations Private Limited, a company registered under the Companies Act, 1956, having its Registered Office at C-48, Ambabari Vidhyadhar Nagar, Jaipur, Rajasthan – 302039.
5. Corporate Social Responsibility (CSR) Activities
CSR Activities include, but are not limited to, the following:
- Projects or programs relating to activities specified in Schedule VII of the Act, as amended from time to time.
- CSR initiatives undertaken by the Company based on recommendations of the CSR Committee and approved by the Board.
CSR Activities shall not include activities undertaken in the normal course of the Company’s business.
6. CSR Committee
The CSR Committee refers to the Corporate Social Responsibility Committee of the Board constituted in accordance with Section 135 of the Companies Act, 2013.
7. CSR Policy
CSR Policy means the Corporate Social Responsibility Policy of the Company, as approved by the Board and amended from time to time.
8. Net Profit
Net Profit refers to the net profit of the Company as per its financial statements prepared in accordance with Section 198 of the Companies Act, 2013, excluding:
- Profits arising from overseas branches of the Company
- Dividends received from companies complying with Section 135 of the Act
Net profit for financial years prepared under the Companies Act, 1956 shall not require recalculation under the Companies Act, 2013.
9. CSR Committee – Constitution and Powers
The Board shall constitute a CSR Committee in compliance with the Companies Act, 2013.
The CSR Committee shall consist of three or more Directors, including at least one Independent Director, as applicable.
The CSR Committee shall be responsible for:
- Formulating and recommending the CSR Policy
- Recommending CSR expenditure
- Approving CSR projects and programs
- Monitoring CSR initiatives and implementation
- Authorizing CSR expenditure within Board-approved limits
- Performing any other functions entrusted by the Board
10. Role of the Board
The Board of Directors shall:
- Approve the CSR Policy
- Ensure effective implementation of CSR initiatives
- Ensure spending of at least 2% of the average net profits on CSR activities
- Give preference to local areas and areas around the Company’s operations
- Disclose reasons for any under-spending in the Board’s Report
11. Target Group
While identifying CSR projects, the Company shall give preference to local areas and regions surrounding its operations, without restricting CSR initiatives in other areas.
12. CSR Monitoring and Reporting Framework
A structured monitoring and reporting framework shall be followed to ensure effective utilization of CSR funds.
The CSR Committee shall conduct periodic reviews of CSR activities, and CSR personnel shall present progress reports and annual budgets for evaluation.
13. CSR Expenditure
The Company shall endeavor to spend at least 2% of its average net profits on CSR activities each financial year.
CSR Expenditure shall include:
- Approved CSR project costs
- Contributions to corpus for CSR initiatives
Any surplus generated from CSR activities shall not form part of the Company’s business profits.
14. Disclosure of the Policy
The CSR Policy approved by the Board shall be displayed on the Company’s website and disclosed in the Board’s Report.

The Board’s Report shall include an Annual CSR Report in the prescribed format, as required under the CSR Rules.
